Can a company use financial assistance to buy shares in the company?

Financial assistance to acquire the company’s own shares is generally prohibited. The rule exists to prevent the business from using its resources to support someone’s purchase of its stock, which could mislead creditors and investors and undermine the company’s financial stability. Merely getting board approval or using profits does not change the fundamental prohibition—the act of providing that financial support for an acquisition of the company’s shares is not allowed in the ordinary course. There are very narrow statutory exceptions, but they are tightly controlled and not the norm, so the general position remains that it’s unlawful.
